Terms of Service Last updated: June 1, 2026 These Terms of Service ("Terms") govern your access to and use of davitro.com (the "Site"), operated by RDK Miami LLC ("RDK Miami," "we," "us," or "our"). The Site promotes and facilitates inquiries for close-up magic and interactive entertainment services performed by Davit Ro ("Performer," "Entertainer") in South Florida. Please read these Terms carefully. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site. 1. About our services RDK Miami markets and books entertainment services for corporate events, weddings, private parties, and similar occasions, primarily in Miami-Dade, Broward, Palm Beach, and surrounding areas from Key West to Jupiter, Florida. The Site provides information, portfolio content, blog articles, and forms to request quotes or check availability. Nothing on the Site is a guarantee that the Performer is available on a particular date until we confirm in writing. 2. No account required Visitors may browse the Site without registering. Our admin area is restricted to authorized personnel only. 3. Inquiries and bookings A. Inquiry forms When you submit a form, you agree that: • The information you provide is accurate to the best of your knowledge. • You are at least 18 years old, or you are submitting on behalf of an organization with authority to do so. • You have read and agree to our Privacy Policy. Submitting a form does not create a binding contract. It is a request for information or a quote. A booking is confirmed only when both parties agree to specific terms (date, time, venue, fee, and scope) in a separate written agreement, email confirmation, or invoice accepted by you. B. Quotes and payment Fees, travel, performance length, and other details are quoted individually. Payment terms, deposits, cancellations, and rescheduling will be stated in your proposal or contract—not solely on this Site. C. Event requirements You are responsible for providing a safe, lawful venue, reasonable performance space, and cooperation with venue staff. We are not responsible for conditions outside our control (weather, venue restrictions, delayed schedules, or guest behavior) that affect the performance. 4. Acceptable use You agree not to: • Use the Site for unlawful purposes or to violate others' rights • Attempt to gain unauthorized access to our systems or admin area • Submit false, misleading, or harassing inquiries • Use automated tools to scrape the Site or overload our infrastructure • Introduce malware or interfere with Site operation We may block abusive traffic and cooperate with law enforcement when required. 5. Intellectual property All Site content—including text, layout, logos, photographs, videos, graphics, and design—is owned by RDK Miami or its licensors and protected by copyright, trademark, and other laws. You may view and share links to the Site for personal, non-commercial purposes. You may not copy, reproduce, modify, distribute, or create derivative works from Site content without our prior written permission, except as allowed by law. "Davit Ro," related branding, and performance footage remain the property of the rights holders. Unauthorized recording or broadcast of a live performance may be prohibited by your event contract and applicable law. 6. Third-party services and links The Site may include links or embeds from third parties (for example, Google Maps, YouTube, Instagram, Facebook, or TikTok). Those services are governed by their own terms and policies. We do not endorse and are not responsible for third-party content or practices. 7. Disclaimers THE SITE AND ITS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components. Information on the Site (including blog posts) is for general information only and is not legal, financial, or event-planning advice. Past performances, testimonials, or reviews reflect individual experiences and do not guarantee identical results at your event. 8. Limitation of liability TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RDK MIAMI LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, CONTRACTORS, AND THE PERFORMER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING FROM YOUR USE OF THE SITE OR ANY INQUIRY SUBMITTED THROUGH IT. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNT YOU PAID TO RDK MIAMI FOR THE SPECIFIC EVENT GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS BEFORE THE CLAIM. Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law. 9. Indemnification You agree to defend, indemnify, and hold harmless RDK Miami LLC and its personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your misuse of the Site, your violation of these Terms, or your event conduct (including venue-provided issues attributable to your organization), except to the extent caused by our gross negligence or willful misconduct. 10. Governing law and disputes These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law rules. Any dispute arising out of these Terms or the Site that cannot be resolved informally will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to personal jurisdiction in those courts. Before filing a claim, you agree to contact us at hi@davitro.com and allow at least thirty (30) days to attempt good-faith resolution. 11. Changes to these Terms We may modify these Terms at any time. The "Last updated" date will change when we do. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms. For material changes, we may provide additional notice on the Site. 12. Severability If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force. 13. Entire agreement (Site use) These Terms, together with our Privacy Policy and any separate written agreement for entertainment services, constitute the entire agreement regarding your use of the Site. If there is a conflict between these Terms and a signed booking contract for a specific event, the signed booking contract controls for that event. 14.
